Terms of Service

1. Introduction

These Terms of Service ("Terms") govern access to and use of the Tour Ninja platform, including the website, landing pages, and the SaaS application, including any related support or communication services (collectively, the "Services").

The Services are operated by TRAVEL NINJAS PTE. LTD., a private company limited by shares incorporated in Singapore (UEN: 202534928K), with its registered office at 160 Robinson Road, #14-04, Singapore Business Federation Center, Singapore 068914 ("Travel Ninjas", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms.

2. Scope of the Services

Tour Ninja is a software-as-a-service (SaaS) platform providing digital tools that enable Professional Travel Companies ("Clients") to manage, create, distribute, and sell their own travel products and services.

Travel Ninjas provides software tools only and does not:

• operate, sell, resell, organize, control, or deliver any travel services,
• act as a travel agent or tour operator,
• act as an intermediary, broker, or contracting party for travel services,
• participate in or control transactions between Agencies and their customers.

All travel services, offers, prices, descriptions, availability, and contractual relationships are determined, offered, and executed solely by Clients, under their own responsibility. Travel Ninjas is not a party to any agreement entered into between Clients and any End User and shall not be liable for the performance, non-performance, legality, or quality of any travel service.

Clients remains solely responsible for compliance with all applicable tourism, consumer protection, licensing, and regulatory requirements in the jurisdictions where it operates.

3. Authorized and Prohibited Use

Clients agree to use the Services solely for lawful business purposes and in compliance with these Terms.

The Client shall not, directly or indirectly:

• reverse engineer, decompile, or attempt to extract the source code of the Services,
• scrape, crawl, or use automated means to access, extract, or copy data from the Platform,
• use the Services for competitive analysis, benchmarking, or to develop a competing product or service,
• bypass, disable, or interfere with security-related features or usage limitations,
• abuse APIs, system resources, or technical limits,
• upload or transmit unlawful, misleading, infringing, or deceptive content.

Travel Ninjas reserves the right to immediately suspend or terminate access to the Services, without prior notice or liability, in the event of any prohibited use or suspected misuse.

4. Users and Eligibility

4.1 Clients (Professional Travel Companies)

The Services are intended exclusively for Professional Travel Companies users acting in the course of their business, namely Travel Agencies and Destination Management Companies ("Clients").

Only Clients enter into a contractual relationship with Travel Ninjas.

4.2 End Users (Travelers)

Clients may grant access to the Services to their own customers ("End Users"), including travelers, whose accounts may be created automatically and accessed via individual credentials.

End Users:

• use the Services solely in connection with the Client's activities,
• do not enter into a contractual relationship with Travel Ninjas,
• remain under the sole responsibility of the Client.

Clients are responsible for ensuring that End Users comply with these Terms.

Travel Ninjas has no direct contractual relationship with End Users.

5. Account Access and Security

Access to the Services is provided via authenticated user accounts.

Clients are responsible for:

• all activities performed through their accounts,
• the confidentiality and proper use of credentials,
• promptly notifying Travel Ninjas of any unauthorized access or security breach.

Travel Ninjas may suspend or restrict access to the Services where necessary to protect the integrity, security, or proper operation of the platform.

6. Content and Data

6.1 Client Content

Clients may upload, store, or process content through the Services, including but not limited to:

• travel offers,
• marketing texts,
• images and media,
• customer and traveler data ("Client Content").

Clients retain full ownership of their Client Content.

6.2 License to Operate the Services

Clients grant Travel Ninjas a limited, non-exclusive, worldwide license to host, process, reproduce, and display Client Content solely for the purpose of operating, maintaining, and improving the Services.

7. Payments and Transactions

Travel Ninjas does not collect, receive, or process payments made by End Users for travel services.

Payments related to travel services may be:

• processed directly by the Client, and/or
• handled through third-party payment service providers selected by the Client.

Any financial transaction occurs exclusively between the Client and the End User, under the Client's sole responsibility.

8. Fees and Plans

The Services may be offered:

• in demo mode,
• under pilot programs,
• under paid subscription plans.

Pricing, features, and conditions applicable to paid plans are defined separately and may evolve over time.

Travel Ninjas reserves the right to modify or introduce paid plans upon prior notice. Details of paid plans may be communicated separately.

9. Availability and Modifications

The Services are provided on an "as is" and "as available" basis.

Travel Ninjas:

• does not guarantee uninterrupted availability,
• may perform maintenance, updates, or modifications,
• may suspend or discontinue features at any time.

No Service Level Agreement (SLA) is provided unless expressly agreed in writing.

10. Data Protection and Privacy

Personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms.

Where applicable, data processing obligations between Travel Ninjas and Clients may be governed by a separate Data Processing Agreement (DPA).

In the event of any conflict between these Terms and the Data Processing Agreement with respect to the processing of personal data, the terms of the Data Processing Agreement shall prevail.

11. Intellectual Property

All intellectual property rights related to the Services, including software, trademarks, logos, and documentation, remain the exclusive property of Travel Ninjas or its licensors.

No rights are granted except as expressly stated in these Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Travel Ninjas shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of bookings, loss of data, loss of business opportunities, or reputational damage.

Travel Ninjas shall not be liable for:

• the acts or omissions of Clients, End Users, or third-party service providers,
• inaccuracies, errors, or omissions in Client Content,
• service interruptions, technical failures, or data loss.

In any event, Travel Ninjas' total aggregate liability arising out of or in connection with the Services shall not exceed the total fees actually paid by the Client to Travel Ninjas during the twelve (12) months preceding the event giving rise to the claim.

If the Services are provided free of charge, Travel Ninjas shall have no liability whatsoever.

13. Indemnification

Clients agree to indemnify and hold harmless Travel Ninjas against any claims, damages, or liabilities arising from:

• Client Content,
• the Client's relationship with End Users,
• the Client's travel services, offers, or contractual obligations.

14. Termination

Travel Ninjas may suspend or terminate access to the Services in case of breach of these Terms or misuse of the Services.

Clients may discontinue use of the Services at any time, subject to applicable subscription terms. Termination shall not affect any accrued rights or obligations.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Singapore.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
